Sompo completes acquisition of Aspen

Sompo Holdings, Inc. (Sompo) completes the acquisition of Aspen Insurance Holdings Limited (Aspen), following the receipt of all necessary antitrust and insurance regulatory approvals. The transaction, executed through a wholly owned subsidiary of Sompo International Holdings Ltd., involves the purchase of 100 per cent of Aspen’s issued Class A ordinary shares. Following the closing, Aspen’s Class A ordinary shares will be delisted from the New York Stock Exchange. The acquisition is designed to diversify and strengthen Sompo’s global insurance and reinsurance platform. Aspen brings a well-established franchise and a top-tier Lloyd’s of London syndicate, providing Sompo with enhanced access to complex risks and reinsurance licensing in untapped markets worldwide. Mikio Okumura, Sompo Group CEO, says: “Today marks an important milestone in our strategy to continue Sompo's plans for profitable growth, to deploy capital strategically and to ensure a globally diversified property and casualty platform. I am pleased to welcome the Aspen team to Sompo.” James Shea, CEO of Sompo International, adds: “The addition of Aspen’s talented team and robust underwriting culture will significantly enhance our ability to provide innovative solutions to our clients. This acquisition is a testament to our commitment to building a leading global (re)insurance business.” While the Class A shares have been delisted, each series of Aspen’s preference shares will remain outstanding with unchanged terms and conditions, continuing to list on the New York Stock Exchange.
