Freedom Underwriters LLC (Freedom) has entered into an agreement to purchase all outstanding shares in Concert Group Holdings (Concert) from current shareholders WT Holdings and Century Focused Fund IV. The transaction, which is subject to regulatory approval, is expected to close in the first half of 2026. The ownership transition follows a year of record premium growth for the fronting insurer. In August 2025, the company completed an executive leadership transition that saw former chief actuary Sam LaDuca succeed John Hendrickson as CEO. Commenting on the acquisition, Concert chair Charles Slatery says: “We are encouraged and heartened by Freedom’s belief in Concert’s future as a leader in the fronting sector. Throughout our discussions with Freedom, it’s been clear that they have complete confidence in our management team and in the strategy for growth that Concert is executing.” In conjunction with the deal, Freedom, which is backed by Gryphon Holdings and financed by Phoenix Merchant Partners, has appointed Erin Brennan Bagley to the board. Brennan Bagley replaces founding director Brady Young, who has stepped down but will remain affiliated with the company through Freedom. Brennan Bagley brings more than 20 years of insurance industry experience to the role, having previously served as executive vice president and general counsel at Coaction Specialty and as vice president and general counsel at Coverys. Slatery adds: “Erin’s industry and governance experience are an excellent complement to the other skills represented on our Board.” LaDuca concludes: “With Freedom’s acquisition of all outstanding shares, we transition to a singular partnership hallmarked by a commitment to realizing our potential. On behalf of the executive team, I want to thank Freedom for their continued belief in us and their trust in our ability to deliver superior results.” Concert Group is a privately owned insurance holding company that offers insurance fronting and related services through its subsidiaries, Concert Insurance Company and Concert Specialty Insurance Company.
